Wideband Systems, Inc. Purchasing Terms & Conditions

Wideband Systems requires the following stipulations as part of any purchase order:

  1. 1. Wideband Systems, our customer, and regulatory authorities shall be granted access to all facilities involved in the order and all applicable records, in accordance with the supplier’s security policies and intellectual property protection.
  2. 2. If the supplier is aware of any non-conformance in the supplied product, they must provide written notification. No non-conforming material shall be shipped without prior written approval from the Wideband Quality department.
  3. 3. The supplier must provide written notification of any changes in product or process definition and obtain approval where required.
  4. 4. The supplier shall use only approved sub-tier suppliers and ensure that all applicable requirements are flowed down in purchasing documents, including key characteristics where necessary.
  5. 5. For purchase orders stating “DFARS applies,” the supplier must comply with “DFARS 252.225-7014 Preference for Domestic Specialty Metals” and flow down the requirement to any sub-tier supplier used for the same order.
  6. 6. Diminishing Manufacturing Sources:
    1. a. If a component will no longer be stocked or manufactured, the supplier must notify the Wideband buyer in writing as soon as they become aware of any obsolescence issue, or no later than 180 days in advance, whichever occurs first.
    2. b. The supplier must provide a “Last Time Buy Notice” to allow the Wideband buyer the opportunity to purchase additional quantities and take reasonable steps to investigate an alternate part.
  7. 7. Item Obsolescence: The supplier must promptly notify the buyer in writing at least six months prior to the anticipated obsolescence date.
  8. 8. An authorized person must sign all Certificates of Conformance.
  9. 9. Suppliers of Calibration services must be certified to ISO17025, and the calibration system must comply with an established government/industry standard (NIST) and be stated on all documents.
  10. 10. Items requiring test or inspection must include documentation of the test examination and/or inspection.
  11. 11. A Certificate of Compliance referencing the OEM part number is required for all purchase orders for active components.
  12. 12. The seller must notify the buyer in writing when a source is not authorized for parts being supplied.
  13. 13. Non-franchised distributors of active components must have and maintain an approved documented counterfeit parts protection program.
  14. 14. To ensure Wideband Systems does not receive counterfeit parts, compliance with AS5553 is required. Components may only be purchased from original equipment manufacturers (OEM) or their authorized distribution chain. If sourced through an independent distributor, the seller must provide OEM documentation that authenticates traceability to the applicable OEM or other compelling evidence before shipment. Shipment approval is to be provided in writing by Wideband Systems. Wideband Systems reserves the right to reject material lacking appropriate documentation.   15. 15. ESD sensitive active components shall be handled and packaged in accordance with ESD TR20.20.
  16. 16. Wideband reserves the right to cancel a Purchase Order within two business days of placing the PO.
  17. 17. Objective Quality Evidence – Seller agrees to maintain objective quality evidence for materials procured and supplied hereunder. Objective quality evidence may be consistent with their Certified Quality Management System (ISO, AS, etc.) compliance or equivalent, lot traceability, calibration records, inspection reports, Material Certificates, shipping documents, Certificate of Origin, Certificate of Conformance, ROHS compliance. Seller shall supply this evidence upon request. If not a certified QMS, then quality records will be kept for 7 years as a minimum or sent to Wideband with the shipment. This is not applicable to “Commercial off the Shelf” items.
  18. 18. All purchased material and services must be processed in accordance with your Quality Management System (ISO, AS, MIL-STD, etc.), including training in product conformity, safety, and ethics.
  19. 19. All suppliers must maintain a FOD prevention program and measure its effectiveness so that shipments to Wideband will be free of FOD (Foreign Object Damage or Debris). The supplier must flow down this requirement to, and measure the effectiveness of, any sub-tier supplier’s FOD program that is used for the same Wideband Purchase Order.
  20. 20. Conflict Materials: All suppliers must comply with the Dodd-Frank Act, Section 1502.

  22. 22. GOVERNMENT PROCUREMENT REGULATION FLOWDOWN: The following clauses set forth in the Federal Acquisition Regulation’s (FAR) and Defense Federal Acquisition Regulation’s (DFAR) as in effect on the date hereof, are incorporated herein by reference. Where necessary to make the context applicable hereto, the term “Contractor” shall mean Seller, “Government” and “Contracting Officer” shall mean Buyer or the Government, and “Contract” shall mean this order.

The Contractor shall include the terms of this clause, including this paragraph (19), in subcontracts awarded under this contract.
